    Terms and Conditions

    Effective date: 24 August 2026

    These Terms and Conditions ("Terms") are a legal agreement between you and ECOMWARTS GROUP PRIVATE LIMITED, a private limited company incorporated in Singapore (UEN 202513319H), whose registered office is at 87 Bukit Drive, #04-15, The Raintree, Singapore 587847 ("eComwarts", "we", "us", or "our"). We own and operate the website ecomwarts.net and the paid products and services offered through it.

    You can reach us any time at support@ecomwarts.net.

    Please read these Terms carefully. They set out the rules for using our website, buying our products, and taking part in our community. This document is not legal advice.

    1. Acceptance of These Terms

    By using ecomwarts.net, creating an account, buying any product, or joining any workshop, webinar, course, or community that we run, you agree to these Terms and to our Privacy Policy and Earnings Disclaimer, which are part of this agreement by reference.

    If you do not agree to these Terms, do not use the site and do not buy our products.

    We may update these Terms from time to time. Section 17 explains how changes work.

    2. Eligibility

    To use our site and buy from us, you must:

    • Be at least 18 years old, or the age of majority in the place where you live if that age is higher; and
    • Be able to form a legally binding contract under the law that applies to you.

    If you are using our products for a business, you confirm that you have the authority to bind that business to these Terms.

    If you do not meet these requirements, you may not use the site or buy our products.

    3. Accounts and Access

    Access to our paid memberships, courses, and community is managed through Whop, our third-party platform for checkout, customer accounts, and content access. When you buy from us, you may need to create or use a Whop account, which is also governed by Whop's own terms.

    You agree that:

    • You will give accurate, current information when you register or buy.
    • You are responsible for keeping your login details safe and for everything that happens under your account.
    • Each account is for one person only. You may not share, lend, sell, or transfer your account or your access.
    • You will tell us at support@ecomwarts.net straight away if you think your account has been used without your permission.

    Sharing an account, or sharing access to paid materials, is a serious breach of these Terms and may end your access without a refund (see Sections 8 and 15).

    4. What We Sell

    eComwarts provides paid digital education about building an ecommerce and online-store business. Everything we sell is digital and delivered online. Our products form a ladder:

    • Free live workshops and webinars: introductory training offered at no cost.
    • Low-ticket paid workshops and webinars: short paid training sessions.
    • Paid student community and group coaching: ongoing access to a private community, group coaching, and course material, delivered mainly through Discord.
    • Higher-ticket coaching, mentorship, and done-for-you (DFY) programs: advanced paid programs.

    Your license. When you buy a paid product, we grant you a limited, personal, non-transferable, non-exclusive, revocable license to access and use the materials for your own learning only, for as long as your access lasts. You do not own the materials, and you get no other rights in them (see Section 8).

    Higher-ticket programs have their own agreement. Each higher-ticket coaching, mentorship, or DFY program is governed by its own separate written agreement that you sign for that program. Where that signed agreement differs from these Terms, the signed agreement controls for that program. These Terms cover the general relationship; the program agreement covers the specifics of that program, including its deliverables, timelines, and any performance guarantee.

    Changes to content. We may add to, update, improve, or retire course content, features, and community areas over time. We aim to keep improving what we offer, and the materials you can access may change during your membership.

    5. Third-Party Platforms

    Our checkout, payments, account access, community, and email all run on third-party platforms that we do not own or control:

    • Whop: checkout, your customer account, and access to paid memberships;
    • Stripe: card payment processing (through Whop);
    • Discord: the private student community and group coaching;
    • Kit: our email marketing and broadcasts.

    When you use these platforms, you also agree to each platform's own terms and policies, and you are responsible for complying with them and for keeping any account you hold with them in good standing.

    We do not control these platforms and are not responsible or liable for their availability, uptime, downtime, outages, changes to their features, pricing, or policies, how they handle your data, or their decision to suspend, restrict, or terminate your account or ours. We are not affiliated with, sponsored by, or endorsed by Whop, Stripe, Discord, or Kit, and their names and logos belong to them.

    If you lose access to a product or the community because of a third-party platform, for example a platform outage, or a platform suspending or closing your account, and this is not caused by our own breach, that does not create any refund or credit right beyond what Section 7 (Refund Policy) already gives you. Where a platform failure also affects our own performance, Section 14 (Force Majeure) applies as well.

    6. Payment and Billing

    How you pay. Payments are processed by Stripe, our card payment processor, through the Whop checkout. We do not store your full card details ourselves.

    Prices. Prices are shown at checkout. We may change our prices at any time, but a price change will not affect an order you have already paid for. For any recurring plan, a price change will be notified to you before it takes effect on your next billing cycle.

    Currency. Prices are denominated and charged in the currency shown at checkout, US dollars (USD) or Singapore dollars (SGD) as displayed at the point of sale. Your bank or card issuer may apply its own currency-conversion or foreign-transaction fees, which are outside our control and are your responsibility.

    Taxes and GST. Prices may be shown exclusive or inclusive of taxes depending on your location. You are responsible for any taxes, duties, GST, VAT, or similar charges that apply to your purchase, unless the law requires us to collect them, in which case they will be added at checkout.

    Recurring and renewing charges, please read. Some products are sold as a subscription that renews automatically (for example, a monthly or annual community membership). Where this applies, before you buy we will clearly and conspicuously show you: (a) that the subscription renews automatically and continues until you cancel; (b) the renewal price and the length of each billing term (for example, monthly or yearly); and (c) how to cancel. By buying, you acknowledge and authorise these automatic recurring charges to your payment method until you cancel. In particular:

    • Your payment method will be charged automatically at the start of each billing term, at the then-current price for your plan.
    • You can cancel at any time, easily and online, through your Whop account, or by contacting support@ecomwarts.net. Cancelling stops all future renewals.
    • Unless the law or Section 7 requires otherwise, cancelling does not refund the current term, and your access continues until the end of the term you have already paid for.

    Failed payments. If a payment fails, we may suspend or end your access until payment is made.

    7. Refund Policy

    This is our ratified refund policy. It applies except where the law that protects you as a consumer requires otherwise.

    • Digital products are non-refundable once access to the materials is delivered, except where a refund is required by law. Because our products are digital and delivered for immediate access, you agree that delivery begins as soon as you get access.
    • Low-ticket workshops and webinars: all sales are final once access is delivered, unless the law requires otherwise.
    • Higher-ticket coaching and DFY programs: refunds, including any performance or results guarantee, are governed by that program's own signed agreement, not by these general Terms. Read your program agreement for its refund and guarantee terms.
    • Goodwill refunds: we may grant a refund at our sole discretion as a goodwill gesture. Doing so once does not create a right to a refund at any other time.
    • Chargebacks: filing a card chargeback or payment dispute before contacting support@ecomwarts.net and giving us a fair chance to help is a breach of these Terms. It may result in the immediate loss of your access, and we may recover any resulting costs from you.

    When delivery happens. For on-demand courses and community products, delivery occurs when your access credentials, or your Whop or Discord invite, are issued to you. For live workshops and webinars, delivery occurs when the session begins or, if applicable, when the recording is made available to you. From that moment the product is treated as "delivered" for the purposes of this Section.

    EU and UK buyers, immediate performance and the 14-day right of withdrawal. If you are a consumer in the EU or the UK, you normally have a statutory 14-day right to withdraw from a purchase of digital content. Because our digital products are delivered for immediate access, when you buy and access a digital product you expressly request that we begin performance and delivery immediately, and you acknowledge that you will lose your 14-day right of withdrawal once access to that product begins (EU Consumer Rights Directive 2011/83/EU, Article 16(m); UK Consumer Contracts Regulations 2013, regulation 37). You give this consent by ticking the consent box at checkout before you complete your purchase. Once access has begun, the product is treated as fully delivered and the non-refundable position in this Section applies, subject to any right that cannot be waived under the law that protects you.

    Nothing in this Section takes away any refund or cancellation right you have that cannot be waived under the consumer law that applies to you.

    8. Intellectual Property

    All content we provide, including workshops, webinars, videos, recordings, slides, worksheets, templates, scripts, written material, the community content we create, our name, logo, and branding, is owned by us or our licensors and is protected by copyright and other intellectual property laws.

    You get a personal-use license only (see Section 4). You may not, unless we give written permission:

    • Copy, record, screen-capture, download (beyond any download we expressly allow), reproduce, republish, or distribute our materials;
    • Share, resell, sublicense, rent, or give away access to our materials or community;
    • Use our materials to build, train, or run a competing product or service; or
    • Remove or alter any copyright, trademark, or ownership notice.

    Account or content sharing is a breach of these Terms and of our intellectual property rights. It may end your access without a refund and may lead to further legal action.

    Any feedback or suggestions you give us may be used by us freely and without any obligation to you.

    9. Acceptable Use and Community Conduct

    Our community and group coaching are delivered mainly through Discord. When you use the community, you also agree to Discord's own terms. To keep the community safe and useful, you agree not to:

    • Harass, bully, threaten, or abuse any member, coach, or staff;
    • Post spam, scams, or unsolicited self-promotion, advertising, or recruiting;
    • Share other members' private information without their consent;
    • Post unlawful, hateful, discriminatory, sexually explicit, or otherwise harmful content;
    • Share, leak, or resell our paid materials or community access (see Section 8);
    • Impersonate anyone, or misrepresent your identity or affiliation; or
    • Disrupt, hack, or interfere with the community, the site, or our platforms.

    We may remove content, mute, suspend, or permanently ban any member who breaches these rules, at our discretion, with or without notice. Serious or repeated breaches may end your access without a refund.

    10. Earnings Disclaimer

    Our products teach skills. They are not a promise of income or results. This section works alongside our separate Earnings Disclaimer, which is part of these Terms by reference.

    We make absolutely no guarantees about your ability to achieve results, earn income, or build a successful business from this training. Your results depend on many things we do not control, including your own effort, skill, experience, market conditions, and decisions.

    The typical result for most people who attend workshops like this is no income and no successful business. Any example, case study, or student win we show is not typical and is not a promise that you will do the same. Nothing we say is a guarantee of earnings, and you should not spend money you cannot afford to lose.

    11. Disclaimer of Warranties

    To the fullest extent allowed by law, our website, products, community, and materials are provided "as is" and "as available", without warranties of any kind, whether express or implied.

    We do not warrant that the site or products will be uninterrupted, error-free, secure, or free of harmful components, or that the content is complete, accurate, or suitable for your particular situation. Because our delivery, payments, community, and access depend on third-party platforms (see Section 5), we cannot and do not warrant their availability. Any advice, coaching, or information you receive is educational and general in nature, and you act on it at your own risk.

    Nothing in this section removes any warranty or right that cannot be excluded under the consumer law that applies to you.

    12. Limitation of Liability

    To the fullest extent allowed by the law of Singapore:

    • We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, business, goodwill, data, or opportunity, arising from or connected to your use of the site, products, or community.
    • Our total liability to you for all claims connected to these Terms, our products, or our community is limited to the amount you actually paid us for the product or service that gave rise to the claim in the 12 months before the claim arose.

    Nothing in these Terms limits or excludes any liability that cannot be limited or excluded by law, for example, liability for death or personal injury caused by our negligence, or for fraud.

    13. Indemnification

    You agree to indemnify and hold harmless eComwarts (ECOMWARTS GROUP PRIVATE LIMITED), its directors, officers, employees, coaches, and contractors from any claim, loss, liability, cost, or expense (including reasonable legal fees) arising from:

    • Your breach of these Terms;
    • Your misuse of the site, products, materials, or community;
    • Your breach of any law or of another person's rights, including intellectual property rights; or
    • Any content you post or share in our community.

    14. Force Majeure

    We are not liable for any delay or failure to perform caused by events beyond our reasonable control. This includes, without limitation: the failure, outage, or change of a third-party platform (such as Whop, Stripe, Discord, or Kit); internet, hosting, power, or telecommunications failure; cyber-attack; acts of government or regulators; changes in law; strikes or labour disputes; epidemic or pandemic; fire, flood, storm, earthquake, or other natural disaster; and war, terrorism, or civil unrest.

    While such an event continues, our affected obligations are suspended for the duration of the event, and we will take reasonable steps to resume performance as soon as we can. An event of this kind does not, on its own, create a refund right beyond Section 7.

    15. Termination

    By you. You may stop using our services at any time and cancel any subscription as described in Section 6.

    By us. We may suspend or terminate your access to any product, the community, or the site, in whole or in part, with or without notice, if:

    • You breach these Terms, our intellectual property rights, or our community rules;
    • You share your account or our materials;
    • You file a chargeback in breach of Section 7;
    • You use our services unlawfully or in a way that harms other members or us; or
    • We are required to do so by law.

    What happens to your access. If we terminate your access for a breach, or if you are banned, your license under Section 4 ends immediately, you lose access to the materials and community, and you are not entitled to a refund, except where the law or a signed higher-ticket program agreement says otherwise. If we grant a refund, your access ends when the refund is issued.

    Sections that by their nature should survive termination, including Sections 7, 8, 11, 12, 13, 16, 18, and 19, continue to apply after your access ends.

    16. Privacy, Communications, and Marketing Consent

    Privacy. How we collect, use, and protect your personal data is set out in our Privacy Policy, which is part of these Terms by reference. Our operations are based in Singapore and we comply with the Singapore Personal Data Protection Act 2012 (PDPA), as well as the GDPR / UK GDPR and US state privacy laws (including the CCPA / CPRA) where they apply to you. You can contact our Data Protection Officer, at support@ecomwarts.net, to exercise your rights or raise a concern. The Privacy Policy explains your rights in full, including your PDPA rights to access and correct your data and to complain to the Personal Data Protection Commission (PDPC).

    GDPR Article 27 representatives (EU and UK buyers). For buyers in the EU and the UK, our appointed representatives under Article 27 of the GDPR / UK GDPR are:

    • EU: [EU ARTICLE 27 REPRESENTATIVE, TO BE APPOINTED]
    • UK: [UK ARTICLE 27 REPRESENTATIVE, TO BE APPOINTED]

    Note: These representatives must be appointed before we sell to EU or UK buyers on anything other than an occasional basis. Until they are appointed and named here, the bracketed placeholders stand in for the appointed contacts.

    Marketing communications. By opting in, you agree that we may send you marketing emails (through Kit) and SMS reminders. For SMS, message frequency varies; message and data rates may apply. Reply HELP for help and STOP to cancel at any time. You can also opt out at any time, use the unsubscribe link in any email, reply STOP to any SMS, or contact support@ecomwarts.net. We honour every opt-out. We comply with the Singapore Spam Control Act and the Do Not Call (DNC) Registry for marketing messages and calls, and with the equivalent marketing-consent rules that apply to you elsewhere.

    17. Changes to These Terms

    We may change these Terms from time to time. When we do, we will update the Effective date at the top and post the new version on ecomwarts.net. For material changes, we will take reasonable steps to notify you, such as by email or a notice in the community.

    Changes take effect when posted, unless we say otherwise. If you keep using the site, products, or community after a change takes effect, you accept the updated Terms. If you do not agree, stop using our services and cancel any subscription.

    18. Severability and Entire Agreement

    Severability. If any part of these Terms is found to be invalid or unenforceable, that part will be limited or removed to the smallest extent needed, and the rest of the Terms will stay in full force.

    No waiver. If we do not enforce a right or provision, that is not a waiver of that right or provision.

    Entire agreement. These Terms, together with our Privacy Policy, our Earnings Disclaimer, and, for higher-ticket programs, the relevant signed program agreement, make up the entire agreement between you and us about our products and services. Where a signed higher-ticket program agreement differs from these Terms, that signed agreement controls for that program.

    Assignment. You may not transfer your rights or obligations under these Terms. We may transfer ours to a successor or affiliate, for example as part of a sale or reorganization of our business.

    19. Governing Law and Dispute Resolution

    These Terms, and any dispute or claim arising out of or connected with them or our products, are governed by the laws of Singapore, without regard to conflict-of-law rules.

    Before starting any formal proceedings, you agree to first contact us at support@ecomwarts.net so we can try to resolve the matter informally in good faith.

    Singapore courts and arbitration. If the dispute is not resolved informally, you agree that it will be dealt with in Singapore. The dispute will be subject to the exclusive jurisdiction of the courts of Singapore, unless we both agree in writing to resolve it by arbitration in Singapore administered by the Singapore International Arbitration Centre (SIAC) under its rules then in force, with the seat of arbitration in Singapore and the proceedings in English.

    US buyers, individual arbitration and class-action waiver. If you are resident in the United States, then, to the fullest extent allowed by applicable law and instead of the court process above, you and we agree that any dispute that cannot be resolved informally will be settled by final and binding individual arbitration, and not in court, except that either party may bring an individual claim in small-claims court where it qualifies. You and we each waive any right to a jury trial, and agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative action (the "class-action waiver"). If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court, while the rest of this arbitration agreement continues to apply.

    Mandatory consumer-rights savings clause. Nothing in this Section removes any right you may have to bring a claim, or to rely on mandatory consumer protections, in the country or state where you live, where the law gives you that right and that right cannot be waived. Where any part of this dispute-resolution Section is unenforceable against you under the mandatory law that protects you, that part does not apply to you, and the rest of this Section still applies.
